End-User License Agreement (EULA) of FlowCrypt Google Workspace Key Manager
This End-User License Agreement (“EULA”) is a legal agreement between you and FlowCrypt a.s. (“we”, “us”, “our”), (collectively “Parties”), and it governs your acquisition and use of our FlowCrypt Google Workspace Key Manager software and related documentation (“Software”) directly from us or indirectly through our authorized reseller or distributor.
Please read this EULA agreement carefully before downloading, completing the installation process, and using the Software. It provides a license to use the Software and contains warranty information and liability disclaimers.
By downloading, installing, and/or using the Software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.
If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, you must not accept this EULA agreement and you cannot install or use the Software.
This EULA agreement shall apply only to the Software supplied by us herewith regardless of whether other software is referred to or described herein. The terms also apply to any Software updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.
License grant
We hereby grant you a non-transferable, non-exclusive license to use the Software on your devices or servers in accordance with the terms of this EULA agreement.
You are permitted to load the Software on devices under your control. You are responsible for ensuring your device meets the minimum requirements of the Software.
You are not permitted to:
- Edit, alter, modify, adapt, translate, or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble, or reverse engineer the Software, circumvent built-in free usage tier restrictions or attempt to do any such things.
- Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose.
- Allow any third party to use the Software on behalf of or for the benefit of any third party.
- Use the Software in any way which breaches any applicable local, national, or international law.
- Use the Software for any purpose that We consider is a breach of this EULA agreement.
- Use the Software above the intended free usage tier.
Intellectual Property and Ownership
We shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain our property.
We reserve the right to grant licenses to use the Software to third parties.
Export controls
None of the Software or underlying information or technology may be downloaded or otherwise exported or re-exported to any country to which the Czech Republic has embargoed goods. By downloading or using the Software, you are agreeing to the foregoing and you are representing and warranting that you are not located in, under the control of, or a national or resident of any such country or on any such list.
Warranty
YOU ACKNOWLEDGE AND AGREE THAT THE SOFTWARE AND SERVICE SUPPLIED HEREUNDER ARE PROVIDED ON AN “AS IS” OR “AS AVAILABLE” BASIS, WITH ALL FAULTS. WE DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS FOR THE SERVICE, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, NON- INTERFERENCE, TITLE, COMPATIBILITY OF COMPUTER SYSTEMS, COMPATIBILITY OF SOFTWARE PROGRAMS, INTEGRATION, AND THOSE ARISING FROM COURSE OF DEALING, COURSE OF TRADE, OR ARISING UNDER STATUTE. ALSO, THERE IS NO WARRANTY OF WORKMANLIKE EFFORT OR LACK OF NEGLIGENCE.
Limitation of liability
UNDER NO CIRCUMSTANCES, SHALL WE BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL WE BE LIABLE FOR ANY DAMAGES EVEN IF WE SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.
Termination
This EULA agreement is effective from the date you first download or use the Software and shall continue until terminated. Either Party may terminate it at any time upon written notice to the other Party.
It will also terminate automatically and immediately if you fail to comply with any term of this EULA agreement.
Upon termination, the licenses granted by this EULA agreement will immediately terminate and you must stop all access and use of the Software, and destroy all of your copies of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.
Governing law
This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of the Czech Republic. Any disputes will be resolved through courts in Prague, and you waive any objections you may have based on an inconvenient forum.
